Terms of Service – UnifyList

1. Acceptance of Terms

By accessing or using the UnifyList platform and related services (“Services”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”), including any additional guidelines, policies, or amendments that may be presented to you. If you do not accept these Terms, you are not authorized to use the Services.

2. Eligibility

To use UnifyList, you must be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher. By using the Services, you represent and warrant that you meet this eligibility requirement.

3. Use of the Platform

You may use the Services only in compliance with these Terms and all applicable laws, regulations, and third-party rights. You agree not to:

  • Access or use the platform in any unlawful or unauthorized manner;
  • Probe, scan, or test the vulnerability of the system or network;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Attempt to gain unauthorized access to the Services or related systems;
  • Use the Services to transmit malicious software, spam, or other harmful content.
4. User Accounts and Security

Each user must maintain the security and confidentiality of their login credentials. You are responsible for all activities that occur under your account. UnifyList will not be liable for any loss or damage resulting from your failure to secure your account.

You agree to:

  • Provide accurate and complete information when registering;
  • Notify UnifyList immediately if you suspect any unauthorized access;
  • Keep your account information up to date at all times.
5. Subscription and Payments

Some features require a paid subscription. By subscribing, you agree to pay all fees associated with your chosen plan. Pricing and billing cycles are disclosed at the time of purchase and may be updated with notice.

  • All charges are non-refundable unless otherwise stated;
  • UnifyList reserves the right to modify pricing with prior notice;
  • Failure to pay may result in suspension or termination of your account;
  • Taxes may be added as required by law.
6. Ownership and Intellectual Property

All content, software, interfaces, and intellectual property rights related to UnifyList remain the exclusive property of UnifyList or its licensors. You are granted a limited, non-transferable, non-exclusive license to use the platform for internal business purposes only.

You may not:

  • Reverse-engineer, decompile, or disassemble any part of the Services;
  • Reproduce, distribute, or modify platform components without written consent;
  • Use any branding, logos, or names in a manner that misrepresents your relationship with UnifyList.
7. Customer Data and Rights

You retain all ownership of data you input or upload into UnifyList (“Customer Data”). We will use Customer Data solely to provide and improve our Services, as outlined in our Privacy Policy.

You grant UnifyList a non-exclusive, limited license to process, host, store, and transmit Customer Data as necessary to provide the Services. UnifyList does not claim ownership over your data.

8. Privacy and Data Security

We are committed to protecting your data. Our data practices are governed by our Privacy Policy. You understand that by using the Services, you consent to the collection, use, and disclosure of your information as outlined therein.

We implement industry-standard technical and organizational measures to secure your data. However, no method of transmission over the internet or method of electronic storage is 100% secure.

9. Availability, Uptime, and Maintenance

While we strive to ensure the availability and performance of the Services, UnifyList does not guarantee uninterrupted access. Periodic maintenance, updates, or unforeseen outages may occur. We will provide advance notice for scheduled maintenance whenever possible.

UnifyList is not liable for any interruptions, data loss, or service delays resulting from system failures, third-party service providers, or force majeure events.

10. Termination and Suspension

We may suspend or terminate your access to the Services at our discretion if:

  • You breach these Terms or any applicable policies;
  • Required payments are not made;
  • We reasonably suspect unauthorized activity or potential harm.

Upon termination:

  • Your access to the Services will be revoked;
  • We may delete or restrict access to Customer Data after a defined retention period;
  • Sections that by their nature should survive will continue to apply (e.g., Ownership, Disclaimers, Liability).

You may terminate your subscription at any time through your account settings. Early termination may not result in a refund.

11. Changes to the Services and Terms

We reserve the right to modify the Services or these Terms at any time. We will provide notice via email, platform notification, or website announcement. Continued use after changes become effective constitutes acceptance of the new Terms.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available.” We do not warrant that the Services will be uninterrupted, error-free, or meet your requirements.

To the fullest extent permitted by law, UnifyList disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

In no event shall UnifyList, its affiliates, or partners be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

UnifyList’s total cumulative liability for any claim shall not exceed the amount you paid to us in the preceding twelve (12) months.

14. Indemnification

You agree to defend, indemnify, and hold harmless UnifyList and its affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use or misuse of the Services;
  • Violation of these Terms;
  • Violation of applicable laws or third-party rights.
15. Governing Law and Dispute Resolution
